ModelStream Terms of Service

Welcome to ModelStream. These Terms of Service (the “Terms”) form a binding agreement between you and Metaking Studios OÜ, a private limited company incorporated in the Republic of Estonia, trading as ModelStream (“ModelStream,” “we,” or “us,” or “our”), governing your access to and use of our website at https://modelstream.ai (the “Site”) and the related APIs, dashboards, documentation, and other services we provide (together, the “Service”).
Please read these Terms and the ModelStream Privacy Policy (together, the “Agreement”) carefully before using the Service. By clicking “I accept,” creating an account, generating an API key, or otherwise using the Service, you confirm that you have read, understood, and agreed to the Agreement. If you are entering into the Agreement for an organisation, you confirm that you have authority to bind that organisation, and “you” means that organisation.
Estonian law and EU consumer protections. This Agreement is governed by the laws of the Republic of Estonia and, where you use the Service as a consumer resident in the European Union (EU), the European Economic Area (EEA), or the United Kingdom (UK), by the mandatory consumer protection rules of your country of habitual residence. Nothing in this Agreement waives the rights afforded to you by such mandatory law, including your rights under Regulation (EU) 2016/679 (the “GDPR”). See Section 19 for the complete dispute resolution framework.
1. What ModelStream is
ModelStream operates a unified API gateway that routes inference requests to a curated selection of third-party generative AI models (each an “AI Model”). Our architecture is designed as a privacy-preserving passthrough: by default, we do not log, store, or train on the content of your prompts or the content of the responses returned by AI Models. We may add, remove, or version AI Models at any time; where a removal materially affects you, we will give reasonable prior notice where practicable.
2. Who can use the Service
You must be at least 16 years of age (or, if higher in your country of residence, the age of digital consent under applicable law) to use the Service. By agreeing to these Terms you confirm that: (a) you meet the age requirement; (b) you have not previously been suspended or removed from the Service; and (c) your registration and use of the Service comply with all laws applicable to you. Minors below the age of digital consent may not use the Service, even with parental permission. If we become aware that a user does not meet the eligibility criteria, we will terminate that account.
3. Accounts
To access most features of the Service you must register for an account using a valid email address or a supported single-sign-on provider. You agree to keep your registration details accurate and up to date, and you are responsible for all activity that occurs under your account and for safeguarding your credentials and API keys. If you suspect unauthorised access, notify us immediately at info@modelstream.ai.
ModelStream supports two account types:
- Individual accounts are held by a single natural person acting for themselves.
- Organisational accounts are managed by one or more Administrators, who may invite Authorised Users. Administrators control account-wide settings, including optional logging, retention, and usage limits. Authorised Users may use the Service only as configured by the Administrator and may hold a separate Individual account for their own purposes.
We treat Administrators as controllers of the data within their organisational workspace and as responsible for communicating the applicable settings to their Authorised Users.
4. Payment
4.1 Prepaid Credits
Access to the Service is denominated in prepaid credits (“Credits”). Credits are purchased through Stripe in euros (EUR) or another supported fiat currency. Each API request is deducted from your Credits balance based on the then-current price for the AI Model, plus any applicable platform fee. A single purchase must be at least EUR 5 and no more than EUR 15,000, unless we agree a higher ceiling with you in writing.
4.2 Refunds
You may request a refund of unused Credits within 24 hours of the transaction by writing to info@modelstream.ai. Approved refunds are processed through Stripe to the original payment method; clearing times depend on your card issuer or bank. After 24 hours, unused Credits are non-refundable. Platform fees are non-refundable.
EU/EEA/UK consumer right of withdrawal. If you are a consumer resident in the EU, EEA, or UK, you retain any statutory right of withdrawal you may have under applicable law. Because the Service is digital content delivered by expressly acknowledged immediate performance, once you begin consuming Credits (i.e. make an API call) you may lose that right of withdrawal in respect of Credits consumed. Unused Credits remain refundable for 14 days where required by mandatory law.
4.3 Credit Expiry and Auto-Top-Up
Unused Credits expire 365 days after purchase. We may, but are not obliged to, notify you before expiry. You may enable Auto-Top-Up to maintain a minimum Credits balance; if enabled, you authorise us to charge your stored payment method when your balance falls below your chosen threshold. You may disable or adjust Auto-Top-Up at any time from your account settings.
4.4 Currency and Processing
ModelStream uses third-party payment processors whose own terms apply to the processing of your payment. We do not store full payment card numbers. Taxes, currency conversion, and bank or network fees are your responsibility unless otherwise specified at checkout.
4.5 Changes to Fees
We may adjust our fees or introduce new fees at any time. Changes will apply to Credits purchased after the effective date of the change and will be announced at least 30 days in advance by email or in-product notice. If you do not accept a change, your remedy is to stop using the Service and request a refund of unused Credits purchased under the prior fee schedule, regardless of the 24-hour window in Section 4.2.
5. User Content, No-Logging Default, and Licences
5.1 Your content, your rights
You may submit text, code, images, audio, files, and other material to the Service (“Inputs”) and receive generated material in response (“Outputs”). Inputs and Outputs together are “User Content.” You retain all rights you hold in your Inputs. Your rights in Outputs are determined by the terms of the AI Model that produced them (the “AI Model Terms”), which are published and kept current at https://modelstream.ai/models/terms.
5.2 No-Logging Passthrough (the ModelStream default)
By default, ModelStream operates a zero-retention passthrough. This means that, unless you affirmatively opt in to a logging feature in your account settings or in an organisational configuration, we do not persist the content of your Inputs or the content of Outputs in our systems after a request has been completed, and we do not use User Content for model training, fine-tune, product improvement, or evaluation by us or by any third party.
For routing, billing, abuse prevention, and operational observability we retain only the following non-content metadata for each request: timestamp, requesting organisation/account identifier, the AI Model invoked, input and output token counts, HTTP status, latency, and routing region. This metadata is retained as described in the Privacy Policy and never contains the content of your Inputs or Outputs.
Upstream AI Models. ModelStream’s no-logging commitment covers our own systems. The AI Model you select may separately log or retain User Content under the AI Model Terms applicable to that provider. We publish the current prompt-logging and training status of each AI Model and will not route traffic to providers who train on prompts without your opt-in. You are encouraged to review the AI Model Terms before use.
5.3 Opt-in logging for debugging and analytics
You may enable the following optional features. Each is off by default and may be disabled at any time; disabling a feature stops new data collection but does not automatically delete data collected while the feature was enabled.
- Private Request History: stores your Inputs and Outputs privately for your own later review. Visible only to you (for Individual accounts) or to the Administrator and the relevant Authorised User (for organisational accounts). Retention is configurable up to 30 days.
- Debug Logging: short-lived capture of failed requests to assist support. Retained no longer than 14 days and disclosed only to ModelStream engineers investigating your ticket.
- Improvement Opt-In: allows ModelStream to use your User Content to evaluate routing quality, detect abuse, and improve the product. If you enable this, you grant ModelStream a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and internally use that User Content for those purposes for the duration of the opt-in and for up to 90 days after you disable the feature, after which the data will be deleted or irreversibly de-identified. We will not sell your User Content. We will not train generative models on your User Content unless you separately and affirmatively opt in to a specific research programme.
5.4 Your representations about Inputs
By submitting Inputs, you represent and warrant that: (a) you own your Inputs or have the necessary rights, consents, and permissions to submit them and to grant any licence set out in Section 5.3; (b) your Inputs and your use of Outputs do not infringe, misappropriate, or violate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or other intellectual-property or proprietary right; (c) your Inputs do not contain malware, unlawful content, or content that would defame, harass, or invade the privacy of any person; and (d) your use of the Service will not cause ModelStream to violate any law or regulation, including export controls and sanctions.
5.5 Content moderation
We do not pre-screen User Content. We may, but are not obliged to, remove, filter, or block Inputs and Outputs that in our reasonable judgement violate this Agreement, AI Model Terms, or applicable law, or that present an imminent safety risk. We will act in a transparent, proportionate manner consistent with our obligations under Regulation (EU) 2022/2065 (the Digital Services Act) where applicable.
5.6 Routing region
For traffic originating in the EU/EEA, ModelStream routes requests through infrastructure located in the EU/EEA, and the content of your requests does not leave the EU/EEA unless you explicitly select an AI Model that is hosted outside the EU/EEA. Where available, we surface the region and hosting location of each AI Model in our documentation and dashboard so you can make an informed routing decision. Because we rely on network-level signals to determine origin, routing cannot be guaranteed in edge cases; we will use reasonable efforts to keep EU traffic in the EU.
6. Acceptable Use
You agree not to, and not to enable or encourage any third party to:
- use the Service for any unlawful, infringing, deceptive, or fraudulent purpose, or in violation of AI Model Terms;
- fund Credits using assets derived from financial crime, sanctions evasion, or other unlawful activity;
- create a false identity, misrepresent your affiliation, or operate multiple accounts to circumvent limits, bans, or pricing;
- resell, sublicense, or otherwise make the Service available to third parties as a standalone product, or build a service that competes directly with ModelStream by wrapping the Service;
- scrape, crawl, mirror, or otherwise systematically copy the Site or its underlying data, or bypass technical protections designed to prevent scraping, rate-limit circumvention, or automated abuse;
- interfere with security features, probe for vulnerabilities outside a sanctioned bug-bounty programme, or reverse-engineer the Service except as permitted by mandatory law;
- conduct adversarial testing, jailbreaking, or other red-teaming of AI Models without our prior written approval (see Section 7);
- upload content that infringes intellectual-property rights, violates privacy or data-protection law, constitutes child sexual abuse material, promotes terrorism, or is otherwise illegal in Estonia, the EU, or your own jurisdiction;
- use the Service to generate content intended to deceive, defame, impersonate, or unlawfully surveil any person, including non-consensual intimate imagery or fabricated statements attributed to real individuals;
- use the Service to develop biological, chemical, nuclear, or radiological weapons, to compromise critical infrastructure, or to build tools whose primary purpose is to enable such activities;
- transfer, sublicense, or share API keys with third parties except within your own organisation;
- attempt, assist, or permit any of the foregoing.
7. Red Teaming and Security Research
Adversarial testing of AI Models (“Red Teaming”), including prompt injection, jailbreaking, and capability elicitation, is restricted by most AI Model Terms. Legitimate security researchers may apply to our red-teaming programme by writing to info@modelstream.ai with a description of the intended scope, methodology, disclosure plan, and affiliation. We review requests case by case, typically within five (5) business days, and approvals are issued in writing. Unauthorised red-teaming activity will trigger automated defences, may result in account termination, and may be reported to the affected AI Model provider.
8. AI Model Terms
Each AI Model accessible through the Service is governed by its own AI Model Terms, which set out, among other things, ownership of Outputs, permitted uses, prohibited content categories, and prompt-logging status. We maintain a current and machine-readable index of AI Model Terms at https://modelstream.ai/models/terms. We strive to keep this index accurate; if you believe a link or status is incorrect, please notify us at info@modelstream.ai. We are not liable for inaccuracies in AI Model Terms drafted by third parties, and you remain responsible for reviewing the terms that apply to the AI Models you choose to use.
9. Termination
You may close your account at any time from your account settings or by writing to info@modelstream.ai. Closure does not waive any fees you have already incurred. We may suspend or terminate your access to the Service immediately if we reasonably believe that you have materially breached this Agreement, used the Service for illegal activity, created undue security or legal risk for us or another user, or if we are required to do so by law or by an AI Model provider. Where proportionate, we will provide notice and an opportunity to cure. Upon termination for cause, unused Credits are forfeited. Upon termination without cause, we will refund the euro-equivalent value of unused Credits purchased in the preceding 365 days, net of any amounts you owe us, via the original payment method within 30 days.
10. Privacy, Data Protection, and DPA
Our handling of personal data is described in the ModelStream Privacy Policy, which forms an integral part of this Agreement. For organisational customers who process personal data of identifiable individuals through the Service, our Data Processing Addendum (“DPA”), incorporating the European Commission’s Standard Contractual Clauses where relevant, is available at https://modelstream.ai/legal/dpa and is incorporated by reference on execution or on first use of the Service by an organisational account, whichever occurs first.
Where you are acting as a controller and ModelStream acts as a processor on your behalf, the DPA governs the processing. Where both parties are independent controllers for a given processing activity, each party is separately responsible for compliance with applicable data-protection law.
ModelStream is designed to comply with the GDPR, the UK GDPR, the Estonian Personal Data Protection Act, the ePrivacy Directive as implemented in Estonia and other EU Member States, and the transparency and governance provisions of Regulation (EU) 2024/1689 (the “EU AI Act”) applicable to providers of AI systems that process data through our gateway.
11. Changes to the Agreement
We may update this Agreement from time to time. For any change that materially affects your rights or obligations, we will give you at least 30 days’ advance notice by email or in-product notification. Your continued use of the Service after the effective date of the change constitutes acceptance. If you do not accept a material change, your remedy is to stop using the Service before the effective date and to request a refund of unused Credits in accordance with Section 9. Non-material or clarifying changes take effect when posted to the Site. Disputes are governed by the version of the Agreement in force at the time the dispute arose.
12. Intellectual Property in the Service
The Service, including its software, APIs, documentation, design, dashboards, trademarks, and the ModelStream name and logo, is owned by ModelStream and protected by intellectual-property and unfair-competition laws. Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own lawful purposes. No rights are granted by implication, estoppel, or otherwise.
13. Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant ModelStream a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, and exploit that feedback for any purpose. Feedback is provided on a non-confidential basis unless we agree otherwise in writing.
14. Confidentiality
Each party may disclose to the other information that is marked confidential, or that a reasonable person would understand to be confidential given the circumstances (“Confidential Information”). The receiving party will protect Confidential Information with at least the same care as its own confidential information, and no less than reasonable care, and will use it solely to perform or exercise rights under this Agreement. These obligations do not apply to information that is publicly available through no fault of the receiving party, was lawfully known to the receiving party before disclosure, is independently developed, or is lawfully received from a third party free of confidentiality obligations. Compelled disclosures are permitted where required by law, provided the receiving party gives reasonable prior notice where lawful.
15. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MODELSTREAM DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, THAT OUTPUTS WILL BE ACCURATE, LAWFUL, OR FIT FOR YOUR INTENDED USE, OR THAT ANY PARTICULAR AI MODEL WILL REMAIN AVAILABLE.
Nothing in this Section limits any rights that cannot be excluded under mandatory consumer-protection law. If you are a consumer resident in the EU, EEA, or UK, your statutory remedies for non-conformity remain available.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY’S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO MODELSTREAM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) EUR 100.
Nothing in this Section limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, for breach of the GDPR where mandatory law provides otherwise, or for any other liability that cannot lawfully be excluded or capped.
17. Indemnity
You will defend, indemnify, and hold harmless ModelStream and its affiliates, officers, directors, employees, and agents from and against any third-party claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of: (a) your Inputs or your use of Outputs; (b) your breach of this Agreement; (c) your violation of any law or of any third-party right, including any intellectual-property, privacy, or data-protection right; or (d) a dispute between you and any third party arising out of your use of the Service. ModelStream will give you prompt notice of the claim, reasonable cooperation at your expense, and the right to control the defence, provided that no settlement that imposes obligations on us may be agreed without our written consent.
18. General Provisions
18.1 Governing Law
This Agreement and any non-contractual obligations arising out of or in connection with it are governed by the laws of the Republic of Estonia, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.
18.2 Assignment
You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement to an affiliate, or in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets, on written notice to you.
18.3 Force Majeure
Neither party will be liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemics, utility outages, internet or upstream-provider failures, or lawful government action.
18.4 Entire Agreement; Severability; Waiver
This Agreement, together with the Privacy Policy, the DPA (where applicable), and any order form or written addendum signed by both parties, constitutes the entire agreement between the parties about its subject matter and supersedes all prior understandings. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable and the remainder will remain in full force. A failure to enforce any right is not a waiver of that right.
18.5 Electronic Communications
You consent to receive notices, disclosures, and other communications from us electronically at the email address associated with your account. Electronic communications satisfy any legal requirement that a communication be in writing.
18.6 Survival
Sections 5.4, 6, 9, 12 through 17, 18, and 19, together with the Privacy Policy and the DPA, survive termination or expiry of this Agreement.
18.7 Language
This Agreement is concluded in English. Where we provide a translation for convenience, the English text prevails in case of conflict.
18.8 Notices
Legal notices to ModelStream must be sent to info@modelstream.ai and to the registered address of Metaking Studios OÜ (trading as ModelStream) in Tallinn, Estonia, published at https://modelstream.ai. Notices to you will be sent to the email associated with your account.
19. Dispute Resolution
19.1 Good-faith negotiation
If a dispute arises out of or in connection with this Agreement, the parties will first attempt to resolve it amicably. A party wishing to raise a dispute will send a written notice to the other party describing the nature of the dispute, the relevant facts, and the relief sought (a “Dispute Notice”). The parties will negotiate in good faith for at least 30 days following receipt of the Dispute Notice.
19.2 Courts of competent jurisdiction
If the parties cannot resolve the dispute through negotiation, the dispute will be finally settled by the competent courts of the Republic of Estonia, with Harju County Court (Harju Maakohus) in Tallinn as the court of first instance, and the parties submit to its jurisdiction.
19.3 EU, EEA, and UK consumers
If you use the Service as a consumer resident in the EU, EEA, or UK, nothing in this Section 19 deprives you of the protection of the mandatory rules of your country of residence. You may bring proceedings against us in the courts of your country of residence, and you may invoke any statutory right you have under EU Regulation (EC) No 593/2008 (Rome I), EU Regulation (EU) No 1215/2012 (Brussels I recast), or equivalent UK or EEA legislation. Nothing in this Section requires consumers to submit to arbitration.
19.4 EU Online Dispute Resolution
EU consumers may also use the European Commission’s online dispute-resolution platform available at https://ec.europa.eu/consumers/odr. We are not obliged and have not committed to submit consumer disputes to any alternative dispute resolution body, and we will typically respond to complaints through the channels set out in Section 18.8.
19.5 Injunctive relief
Notwithstanding anything in this Section 19, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual-property rights, confidential information, or the security of the Service.
19.6 No class actions
Subject to the rights of EU, EEA, and UK consumers under Section 19.3 and to applicable collective-redress mechanisms provided by mandatory law (including Directive (EU) 2020/1828 on representative actions), claims must be brought on an individual basis.
19.7 Supervisory authority for data protection
You have the right to lodge a complaint with a data-protection supervisory authority, in particular the Estonian Data Protection Inspectorate (Andmekaitse Inspektsioon, https://www.aki.ee) or the supervisory authority of your country of habitual residence. Exercising this right does not require you to first contact us, although we encourage you to do so.
